End User License Agreement

Subject to your compliance with this Agreement, Auscera grants you a limited, non-exclusive, non-transferable, revocable license to:

• Download and install one copy of the App on a device that you own or control.
• Use the App on that device solely for your personal, non-commercial purposes in accordance with this EULA.

This license does not grant you any ownership rights in the Software. You do not acquire any rights to copy, modify, distribute, sell, or create derivative works of the Software.

You accept this Agreement by installing, opening, or otherwise using the App. If you are not of legal age to agree to these terms under applicable law, you must not use the App. The App is offered free of charge currently, with some features limited or reserved for future paid plans.

You agree not to:

• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the App.
• Modify, adapt, translate, or create derivative works.
• Redistribute, sublicense, rent, lease, sell, or transfer the App.
• Remove or alter any proprietary notices, labels, or trademarks.
• Use the App in a manner that violates applicable laws or harms others.

All rights, title, and interest in the App, including all intellectual property rights, remain with Auscera and its licensors. This Agreement does not grant you any rights beyond the license expressly provided here.

Auscera may provide updates, upgrades, patches, or new versions of the App (“Updates”). Updates become part of the App and are subject to this EULA unless accompanied by a separate agreement. You agree to promptly install Updates as provided by Auscera.

This license automatically terminates if you fail to comply with any term of this EULA. Auscera may also terminate it at any time, with or without notice. Upon termination, you must:

• Stop using the App.
• Delete all copies from your devices and accounts.

Termination does not limit Auscera's rights in law or equity.

The App is provided “as is” and “as available,” without warranty of any kind, express or implied. Auscera disclaims all warranties, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. You use the App at your own risk.

To the maximum extent permitted by law, Auscera and its affiliates, officers, directors, agents, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or reputation, arising out of or in connection with your use or inability to use the App. Auscera's total aggregate liability shall not exceed the greater of (a) the amount you have paid Auscera in the prior twelve (12) months or (b) one hundred United States Dollars (or equivalent).

Your use of the App may involve collection and processing of personal information. Such data practices are governed by the Nexa Privacy Policy, which is incorporated by reference into this EULA.

This EULA is governed by the laws of Nigeria. Any disputes arising under this EULA shall be resolved in accordance with the dispute resolution provisions in the Nexa Terms of Service, including binding arbitration.

Auscera may modify this EULA from time to time. Material changes will be communicated via app notification or other reasonable means. Continued use of the App after changes constitutes acceptance of the revised EULA.

This Agreement, together with any referenced documents (including the Privacy Policy), constitutes the entire agreement between you and Auscera regarding the App.
